Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Orzila ("we", "us", "our") and govern your access to and use of our website, dashboard, API, and traffic-filtering services (collectively, the "Services"). By creating an account or using the Services, you agree to these Terms.

Please read these Terms carefully. They include disclaimers, limitations of liability, and how disputes are resolved. If you do not agree, do not use the Services.

1. Eligibility and accounts

You must be at least 18 years old and authorized to enter into this agreement on behalf of yourself or the entity you represent. You are responsible for the accuracy of account information, for keeping credentials secure, and for all activity under your account.

2. The service

Orzila provides a software-as-a-service platform for purchasing paid traffic that has been filtered for bots, click farms, and other fraudulent sources. We continuously improve the Services; features, pricing, and limits may change with reasonable notice.

You agree not to, and not to permit others to:

We may suspend or terminate accounts that violate these rules, with or without notice.

4. Customer content and destinations

You retain ownership of campaign configurations, destination URLs, creative assets, and other content you submit ("Customer Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, and transmit Customer Content solely as necessary to operate the Services.

You represent and warrant that you have all rights necessary to use the Customer Content with the Services and that Customer Content does not infringe third-party rights or violate any law.

5. Fees and billing

You agree to pay all fees for the Services as set out in the pricing applicable to your account. Fees are billed in advance unless stated otherwise, and are non-refundable except where required by law or as expressly stated in these Terms. We may change pricing for renewal terms with at least 30 days' notice.

Suspicious traffic detected by our post-delivery audit is credited back to your account automatically. Disputes about specific transactions must be raised within 30 days of the relevant billing period.

6. Service availability

We aim for high availability but do not guarantee that the Services will be uninterrupted or error-free. We may perform maintenance, deploy updates, or temporarily limit access without prior notice when necessary for security or stability.

7. Third-party services

The Services may integrate with or display content from third parties (for example, traffic-source partners, payment processors, attribution platforms). We do not control and are not responsible for third-party services. Your use of them is governed by their own terms.

8. Intellectual property

Orzila and its licensors own all rights in the Services, including software, design, trademarks, and content (other than Customer Content). Except for the limited license to use the Services granted in these Terms, no rights are transferred to you.

9. Confidentiality

Each party agrees to protect the other party's non-public information disclosed in connection with the Services, using the same care it uses for its own confidential information, and to use it only as necessary to perform under these Terms.

10. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will detect all fraudulent traffic, meet your requirements, or operate without interruption.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or business interruption, arising out of or in connection with these Terms or the Services, even if advised of the possibility of such damages.

Our total cumulative liability arising out of these Terms or the Services will not exceed the fees paid by you to Orzila in the twelve months preceding the event giving rise to the liability.

12. Indemnification

You agree to defend, indemnify, and hold harmless Orzila, its officers, employees, and partners from any claim or demand arising out of your Customer Content, your use of the Services in violation of these Terms, or your violation of any law or third-party right.

13. Termination

You may terminate your account at any time through the dashboard or by contacting us. We may suspend or terminate your account for material breach of these Terms, non-payment, or where required by law. On termination, your right to use the Services ceases, but provisions that by their nature should survive (including ownership, disclaimers, limitations, and dispute resolution) will survive.

14. Modifications

We may update these Terms from time to time. We will give reasonable notice of material changes through the Services or by email. Continued use of the Services after changes take effect constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Orzila is established, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved in the competent courts of that jurisdiction, unless mandatory consumer-protection law gives you the right to bring proceedings elsewhere.

16. Miscellaneous

These Terms, together with any order forms or supplementary agreements, are the entire agreement between you and Orzila and supersede prior agreements on the subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver.
